TERMS OF USE, updated February 4th, 2025

SCOPE OF APPLICATION

These terms apply to use of the web-based application (hereinafter "Service") produced and maintained by epicMeets Oy ("Service Provider"), including registration for the Service, browsing and downloading content, and other uses of the Service.

Users registered to the Service (“User”) may access and use the Service in accordance with the rights and limitations of the license applicable to them. Furthermore, a User may be linked to an organisation (“Organisation”) having concluded a separate service agreement with the Service Provider, in which case the User’s rights and limitations relating to the use of the Service may be further administered by an administrator (“Administrator”) appointed by the Organisation.

Using the Service requires agreeing to these terms. You must read these terms carefully before starting to use the Service. By using the Service, you confirm acceptance of these terms and agree to comply with them.

OTHER APPLICABLE TERMS

In addition to these terms, the use of the Service is subject to the following policies:

- Privacy Policy, detailing the conditions under which the Service Provider processes Users' personal data. Users must accept the privacy policy before submitting their personal information to the Service Provider and before the Service Provider processes personal data related to the use of the Service.

REGISTRATION FOR THE SERVICE

Registration for the Service is done at app.epicmeets.io. During registration, Users create their own personal usernames and passwords. Registration requires a valid email address.

The Service Provider reserves the right to deny registration and to close user accounts.

Multiple users may not share the same user account. The Service Provider reserves the right to delete duplicate registrations.

USE OF THE SERVICE

Users are allowed to use the Service according to these terms and the limitations related to the license acquired by the User. The Service is intended solely for professional use within the User’s business environment. The Customer shall use the Service exclusively for these purposes. Any use for other purposes is strictly prohibited and the Service Provider assumes no liability for any such use. Furthermore, any such prohibited use may result in a temporary or permanent termination of the User’s access rights.

The Service Provider has the right to restrict a User's access to the Service at any time if, in the Service Provider's opinion, the User has violated any provision of these terms.

Users must log in with their personal username and password and are responsible for the secure storage of these credentials. The username is personal and may not be shared with others. If a User suspects their password has been compromised, they must change it immediately and inform the Administrator, if necessary.

Users are responsible for any arrangements required to use the Service, such as the functionality and security of their internet connection.

The provision of the Service is continuous, but the Service Provider may suspend, cancel, or terminate the Service in whole or in part without prior notice. Regardless of the reason, duration, or time, the Service Provider is not liable for any losses or damages caused by the unavailability of the Service. The Service Provider does not guarantee that the Service will always be available or free of interruptions.

ADMINISTRATOR

Each Organisation has one or more Administrators assigned to its account within the Service, responsible for, among other things, managing the Organisation, its Users, contents and access rights.

Use of the Service by the Administrator is subject to the same terms applicable to other Users.

SERVICE AVAILABILITY AND BACKUPS

The Service Provider shall use reasonable best efforts to keep the Service available. However, all online services are subject to occasional disruptions and outages, and the Service Provider is not liable for any loss suffered as a result of such disruptions and outages.

The Service Provider updates and may change the contents of the Service periodically. However, the Service Provider may not deteriorate the Service without consent from the Customer.

The Service Provider has the right to suspend the provision of the Service for a reasonable time as necessary for the sake of installation, alteration or maintenance measures related to the Service and if such installation, alteration or maintenance cannot be performed with reasonable costs unless the Service is suspended. If the Service Provider suspends the Service for a reason mentioned in this section, the Service Provider shall strive to notify the Customer of the suspension and its duration well in advance and shall attempt to minimise the inconvenience caused by such suspension.

The Service Provider has the right to suspend the provision of the service for the sake of installation, alteration or maintenance measures related to the public data communication network, due to any real or potential threat to the data security of the Service, or if a law or a regulatory provision requires such measures. If the Service Provider suspends the provision of the service for such reasons, the Service Provider shall notify the Customer of the suspension as soon as reasonably possible.

The Service Provider does not perform backups of the Service or any contents.

INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in and to the Service, including but not limited to any software, content, logos, trademarks, designs, and any underlying technology, data, or documentation ("Intellectual Property"), are and shall remain the exclusive property of the Service Provider or its licensors. This includes any improvements, updates, modifications, or derivative works created during or as a result of the use of the Service.

Subject to compliance with these Terms, the Service Provider grants the User a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for the purposes intended by the Service. This license does not grant the User any rights to the Intellectual Property other than the rights explicitly stated here.

The User shall not, directly or indirectly:

  • Copy, modify, distribute, sell, lease, loan, or create derivative works of any part of the Service or its Intellectual Property.

  • Reverse-engineer, decompile, or attempt to extract the source code or underlying ideas or algorithms of any part of the Service, except as permitted by applicable law.

  • Use the Service in any manner that could infringe, misappropriate, or otherwise violate the Intellectual Property rights of the Service Provider or any third party.

Nothing in these Terms shall be construed as transferring any Intellectual Property rights or ownership from the Service Provider to the User. All rights not explicitly granted to the User herein are reserved by the Service Provider.

Upon termination of the agreement or these Terms, the User’s right to use the Service and all licenses granted hereunder shall immediately terminate. The User must cease all use of the Service and, if applicable, delete any locally-stored materials obtained through the Service.

USER-GENERATED CONTENTS

Use of the Service will allow Users to create, store and share content as well as receive material from other Users. The User shall bear sole liability for any such content and title to such contents shall remain with the User and/or Organisation, as applicable.

To the extent necessary to provide the Service or improve any elements thereof, the User grants the Service Provider a worldwide, royalty-free, perpetual license to use any contents created, stored, shared or received by the User in the Service. This right includes making copies, retaining, transmitting, reformatting, displaying, and distributing it within the Service as well as extracting information and analytical data from such contents. The Service Provider’s right are strictly limited to the purposes set out in this section and cannot be exercised for any other purpose.

The User acknowledges that any templates customised by the User in the Service is within the scope of this section. The Service Provider is thereby entitled to extracting information from such templates and also share templates or parts thereof with other Users to improve the Service. 

LIMITATION OF LIABILITY

The Service is provided "as is". The User acknowledges that the information and content available through the Service may not always be up-to-date, complete, or free from errors. The Service Provider does not warrant the accuracy, reliability, or suitability of the Service or its content for any purpose.

The Service Provider has no obligation to update, correct, or maintain the Service or its content and makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Service. Users assume all responsibility and risk for their use of the Service and acknowledge that the Service Provider is not liable for any errors, omissions, or inaccuracies in the Service or its content.

For the sake of clarity, the Service Provider’s liability towards the Organisation is governed by the separate service agreement between said parties.

SUSPENSION AND TERMINATION OF ACCESS

The Service Provider will determine, at its discretion, whether a User has breached the terms of use when using the Service. If a breach has occurred, the Service Provider will take appropriate measures. Violation of these terms may result in immediate and temporary suspension or permanent deletion of the User’s account.

Additionally, the Service Provider has the right to prevent a User, whose account has been deleted due to a breach, from creating a new account.

The Service Provider is not liable for any losses or damages resulting from any actions taken. The actions described in this section are examples of actions the Service Provider may take in the event of a breach. The Service Provider reserves the right to take any other measures it deems appropriate.

TERMINATION

The User may terminate the Service at any time by deleting its account. If the User is linked to an Organisation, such termination will also occur if the Administrator removes the User or the service agreement between the Service Provider and said Organisation is terminated. 

Such termination will result in the deletion of User data and any contents generated by the User, except to the extent such data and/or contents is necessary for the provision of the Service.

CHANGES TO TERMS OF USE

The Service Provider may amend these terms at any time at its sole discretion. Users will always be notified in writing of any changes.
